Client Materials

You retain all rights to any content, data, or materials you provide to us in connection with our services. By providing such materials, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such materials solely for the purpose of providing our services to you.

Deliverables

Ownership of deliverables created as part of our services will be governed by the specific agreements for each project. Unless otherwise specified in writing, upon full payment, clients typically receive ownership of custom deliverables specifically created for them, excluding any pre-existing materials, frameworks, or tools owned by ScorpTech.

When using our services, you agree to:

• Provide accurate, complete, and up-to-date information
• Maintain the confidentiality of any account credentials
• Promptly notify us of any unauthorized access or security breaches
• Use our services only for lawful purposes and in accordance with these Terms
• Not engage in any activity that could harm, disable, or impair our services

You are responsible for ensuring that any materials you provide to us do not violate any third-party rights, including intellectual property rights, and do not contain any illegal, harmful, or offensive content.

Payment terms for our services will be specified in the agreements for each project or engagement. Generally, our payment terms include:

• Milestone-based payments for larger projects

• Payment due dates as specified in invoices

Late payments may incur additional fees or interest charges. We reserve the right to suspend or terminate services for non-payment.

To the maximum extent permitted by law, ScorpTech and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you to us during the twelve (12) months preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on our website and updating the "last updated" date.
